Terms of Service

Welcome to sherules.me (the “Service”, “we”, “us”, “our”), operated by Individual Entrepreneur Rudeiskii Aleksandr, a company registered in the Republic of Armenia (“Company”). These Terms of Service (“Terms”) govern your access to and use of our website, progressive web application, and any related services (collectively, the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
1.1 You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that you meet this requirement.
1.2 If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1.3 The Service is not directed at, and must not be used by, anyone under the age of 18, regardless of local age of majority.
2. Account Registration
2.1 To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date.
2.2 You are responsible for maintaining the confidentiality of your credentials (including PIN codes and any biometric/WebAuthn authentication configured on your device) and for all activity that occurs under your account.
2.3 You must notify us promptly at support@sherules.me if you become aware of any unauthorized use of your account.
2.4 We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for an extended period, subject to applicable law.
3. The Service
3.1 sherules.me is a subscription-based software-as-a-service application. Features, functionality, and pricing may change over time; we will provide reasonable notice of material changes where required by law.
3.2 The Service is provided as a Progressive Web App (PWA) and may request permissions on your device (e.g., push notifications, biometric authentication) which you may manage through your device settings at any time.
4. Subscriptions, Billing, and Payments
4.1 Certain features of the Service require a paid subscription (“Subscription”). Subscription plans, pricing, and billing intervals are described at the point of purchase.
4.2 Merchant of Record. Payments are processed by our payment provider, which acts as the merchant of record for your purchase. Your payment information is collected and processed by that provider under its own terms and privacy policy, not stored directly by us.
4.3 Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings or by contacting support@sherules.me; cancellation takes effect at the end of the current billing period.
4.4 Refunds. Except where required by applicable consumer protection law (including statutory withdrawal rights in the EU/EEA and UK), payments are non-refundable. Refund requests are handled on a case-by-case basis at our discretion or through our payment provider’s process.
4.5 Prices may include or exclude applicable taxes (e.g., VAT) depending on your location; the amount charged at checkout is final.
5. Acceptable Use
5.1 You agree not to:
- use the Service for any unlawful purpose or in violation of any applicable law;
- upload or transmit content that infringes the intellectual property or privacy rights of others;
- attempt to gain unauthorized access to the Service, other accounts, or our systems;
- interfere with, disrupt, or place undue burden on the Service’s infrastructure;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
- use automated means (bots, scrapers) to access the Service without our prior written consent;
- impersonate any person or entity or misrepresent your affiliation with any person or entity.
5.2 We reserve the right to investigate and take appropriate action against anyone who violates this section, including suspending or terminating accounts and reporting conduct to law enforcement where appropriate.
6. User Content
6.1 “User Content” means any data, text, or material you submit, upload, or generate through the Service.
6.2 You retain ownership of your User Content. By submitting User Content, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display it solely for the purpose of operating and providing the Service to you.
6.3 You are solely responsible for your User Content and represent that you have all necessary rights, consents, and licenses to submit it and that it does not infringe or violate the rights of any third party.
6.4 We do not claim ownership over your User Content and do not sell it to third parties.
6.5 Prohibited Content. You agree not to submit User Content that: (a) depicts, describes, or promotes sexual content involving minors, non-consensual acts, or any illegal activity; (b) is defamatory, harassing, or discriminatory; (c) infringes any third party’s intellectual property, privacy, or publicity rights; (d) contains malware or harmful code; or (e) violates applicable law in your jurisdiction or ours. We reserve the right, but not the obligation, to review, remove, or disable access to any User Content that violates this Section, and to suspend or terminate accounts responsible for repeated or serious violations, without liability to you.
6.6 Copyright Complaints (Notice-and-Takedown). If you believe User Content hosted on the Service infringes your copyright, send a written notice to support@sherules.me including: (i) identification of the copyrighted work; (ii) identification of the allegedly infringing material and its location on the Service; (iii) your contact information; (iv) a statement of good-faith belief that the use is unauthorized; and (v) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act. We will review valid notices and remove or disable access to the infringing material as appropriate, and may notify the affected user.
7. Intellectual Property
7.1 The Service, including its design, software, logos, and trademarks, is owned by the Company and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended.
8. Push Notifications and Communications
8.1 If you enable push notifications, we may send you notifications related to your account and use of the Service. You may disable these at any time through your device or browser settings.
8.2 We may send transactional emails (e.g., billing receipts, security alerts) that are necessary for the Service and cannot be opted out of while your account is active.
8.3 Product & Service Communications. We may send communications about your use of the Service, such as monthly account activity reports or reminders about available features. These are sent by default, but every such email includes an unsubscribe link, and you may also opt out at any time through your account settings.
8.4 Marketing communications (e.g., promotions and announcements unrelated to your account activity) are sent only with your consent and may be opted out of at any time.
9. Termination
9.1 You may stop using the Service and delete your account at any time through account settings or by contacting support@sherules.me.
9.2 We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or if we discontinue the Service.
9.3 Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 7, 10, 11, and 12) will survive.
10. Disclaimers
10.1 THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10.2 We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Limitation of Liability
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11.3 Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., for gross negligence, fraud, or death/personal injury caused by negligence).
12. Indemnification
12.1 You agree to indemnify, defend, and hold harmless the Company, its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
12.2 We reserve the right, at your expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
13. Dispute Resolution
13.1 Informal Resolution First. Before filing a claim, you agree to contact us at support@sherules.me and attempt to resolve the dispute informally for at least 30 days.
13.2 Governing Law. These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your country of residence provide otherwise.
13.3 Venue. Any disputes that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of the Republic of Armenia, unless applicable law grants you the right to bring proceedings in your local courts (for example, mandatory consumer protection rules in your country of residence).
13.4 Class Action Waiver. To the extent permitted by law, disputes shall be resolved on an individual basis only, and you waive any right to participate in a class, collective, or representative action.
14. Force Majeure
14.1 We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, internet or hosting-provider outages, war, sanctions, governmental action, or payment-processor failures.
15. Export Control and Sanctions Compliance
15.1 You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive trade sanctions, and are not listed on any restricted-party or denied-persons list, where use of the Service would violate applicable export control or sanctions law.
15.2 We reserve the right to restrict or terminate access to the Service where required to comply with applicable sanctions or export control regimes.
16. Miscellaneous
16.1 Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
16.2 No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
16.3 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.4 Entire Agreement. These Terms, together with the Privacy Policy and any order/subscription confirmation, constitute the entire agreement between you and the Company regarding the Service.
16.5 No Third-Party Beneficiaries. These Terms do not confer any rights on any third party, except as expressly stated.
17. Changes to These Terms
17.1 We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
